Senior Legal & Compliance Manager (日本法人の法務コンプライアンス責任者)

[Responsibilities]
Primary Goals:

  • Manage wide range of legal issues and complex litigation, response to regulatory investigations, monitor and implement compliance system within the organization, and keep management apprised of regulatory updates.

  • Drive a strong ethical and compliance culture across businesses in Japan including working and training of employees and third-party intermediates.

  • Conduct audit and investigation, as and when required.

  • Implement ethical and compliance programs, and review and approve businesses' activities accordingly to internal rules.

  • Work with Regional Compliance team to achieve Compliance's objectives.

  • Provide timely and effective legal/compliance guidance to business, on day-by-day internal and external commercial and business activities.

Roles & Responsibilities:
Legal 50%

  • Reviewing, drafting, advising on and negotiating all forms of agreements

  • Ensuring the timely and effective provision of legal advice to internal clients and working with internal functional teams

  • Advising the business on any changes in laws and regulations

  • Supporting intellectual property related matters

  • localizing and developing contract templates, legal related processes and policies for Japan

  • Leading corporate governance related matters

  • Supervising external counsel

  • Support Merger & Acquisition and Divestment initiatives relating to Japan

Compliance 50%

  • Implement Ethical and Compliance policies and programs across Japan businesses

  • Drive a strong corporate governance culture, maintaining good and transparent relations with all key stakeholders

  • Work closely with country and regional stakeholders to ensure compliance policies are implemented and maintained

  • Conduct / support compliance trainings and onboarding for new hires, and maintain training records.

  • Advise country management and functional leaders on new/ proposed legislation, and ethics and compliance policies and procedures

[Requirements]

  • Bachelor's Degree in legal or above (Master's degree is preferred)

  • Qualified Japanese lawyer is preferred

  • 8+ years of private practice and/or inhouse experience including at least 2 years within a compliance / auditing function

  • Healthcare industry experience is preferred

  • Fluent in written and spoken English, native level in Japanese language skills

[Salary]
Base 12M-16M + target bonus is expected (based on the candidates' experience and ability)
